Terms of Service

1. Acceptance of terms

By accessing or using freightmath.com (the “Site”) or any FreightMath software, dashboards, calculators, free tools, or related services (together, the “Services”), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree, do not use the Site or Services.

2. About FreightMath

FreightMath is a software platform for truckload carriers, brokers, and freight advisors operated by KSM Transport Advisors, LLC (“KSMTA”), an affiliate of Katz, Sapper & Miller. References in these terms to “we,” “us,” or “FreightMath” mean KSMTA acting in its capacity as operator of the FreightMath Services. Information about KSM's broader professional-services offerings is available at ksmcpa.com.

3. License to use the site

Subject to your compliance with these terms, FreightMath grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your internal business and informational purposes. You may not (a) republish, redistribute, or sell any portion of the Site or Services; (b) reverse engineer, decompile, or attempt to derive the source code of any FreightMath software; (c) remove copyright, trademark, or other proprietary notices; or (d) use the Services in a manner that interferes with other users.

4. Free tools and trials

FreightMath publishes calculators and other free tools (including Spot Check, Trip Check, Dedicated Pricing, and the OR Calculator). These tools are provided for illustrative and educational purposes. Results are estimates based on the inputs you provide and the assumptions built into the tool. They do not constitute pricing, accounting, tax, or investment advice. Free-trial access to paid Services is governed by the terms presented at the time of trial signup.

5. Account registration and customer data

Paid Services require a customer agreement and may require account registration. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Customer data you upload to the Services (including general-ledger data, TMS transactional data, and other operational information) remains your property. FreightMath's use of customer data is governed by your separate customer agreement and our Privacy Policy.

6. Acceptable use

You agree not to:

• Use the Services to violate any applicable law or regulation.
• Attempt to gain unauthorized access to any portion of the Services or to any other user's account or data.
• Interfere with, disrupt, or impose an unreasonable load on the Site or its infrastructure.
• Use automated means (scrapers, bots, crawlers) to access the Site except as expressly permitted by our robots.txt or with prior written consent.
• Misrepresent your identity or affiliation when interacting with FreightMath.

7. Intellectual property

The FreightMath name and logo, the MapLedger name and logo, the FreightMath Standard Chart of Accounts, the FreightMath OR methodology, FreightMarks benchmarks, Quality of Freight scoring framework, and all Site content (text, graphics, screenshots, dashboards, charts, source code) are owned by KSMTA or its licensors and are protected by U.S. and international intellectual-property laws. BidRight is a trademark of Nussbaum Technology and is used on the Site under the FreightMath / Nussbaum Technology partnership.

8. Third-party content and links

The Site contains links to third-party websites (including, without limitation, ksmcpa.com, nussbaumtech.com, randmcnally.com, and partner-TMS vendor sites) and may embed third-party tools (including FreightMarks peer benchmarks and DAT market indices). FreightMath does not control these third-party sites or services and is not responsible for their content, accuracy, or availability. Inclusion of a link or embedded third-party tool does not imply endorsement.

9. Disclaimer of warranties

The Site and Services, including all free tools, calculators, dashboards, and benchmark data, are provided on an “as is” and “as available” basis without warranties of any kind, express or implied. FreightMath disclaims all warranties including merchantability, fitness for a particular purpose, non-infringement, and accuracy of results. FreightMath does not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

10. Limitation of liability

To the maximum extent permitted by law, in no event shall FreightMath, KSMTA, KSM, their affiliates, partners, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, revenue, data, or goodwill — arising from or related to your use of the Site or Services, even if advised of the possibility of such damages. FreightMath's aggregate liability for any direct damages arising from these terms or the free Site is limited to one hundred U.S. dollars (USD $100). Liability arising from a paid Services subscription is governed by the limitation-of-liability terms in your customer agreement.

11. Indemnification

You agree to defend, indemnify, and hold harmless FreightMath, KSMTA, KSM, and their affiliates and personnel from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services in violation of these terms or any applicable law.

12. Privacy

FreightMath's collection and use of personal information in connection with the Site is described in our Privacy Policy. By using the Site, you consent to that policy.

13. Modifications

FreightMath may revise these terms at any time without notice. The most current version will always be posted at freightmath.com/terms with an updated effective date. Your continued use of the Site after a change is published constitutes acceptance of the revised terms.

14. Governing law

These terms are governed by and construed in accordance with the laws of the State of Indiana, United States of America, without regard to its conflict-of-laws rules. You and FreightMath agree to submit to the exclusive jurisdiction of the state and federal courts located in Marion County, Indiana for any dispute arising out of or relating to these terms or the Services.
